IPOs – A Breakdown of What You Need To Know
September 11, 2026
Windfalls from IPO stock can create enormous opportunity, but they also bring tax and estate risks that many new shareholders never see coming. With a little planning, you can protect both your wealth and your family.
Why Pre-IPO Planning Matters
Gift and estate taxes are based on the fair market value of your shares. Before an IPO, that value is usually much lower and there is no public market price. Transferring some shares at this stage can “freeze” their value for tax purposes so future growth benefits your heirs instead of inflating your taxable estate.
Valuation Discounts on Pre-IPO Shares
Pre-IPO stock often qualifies for valuation discounts because the shares are:
- Not publicly tradeable (lack of marketability)
- Usually minority positions with no control over the company (lack of control)
- A qualified appraiser can apply these discounts so a block of stock worth 1 million dollars might be reported for gift tax purposes at 700,000 dollars instead.
Trust Strategies for Large Positions
Several trust structures can help move growth outside your estate:
- GRAT Grantor Retained Annuity Trust that shifts future appreciation while paying you an income stream
- IDGT Intentionally Defective Grantor Trust funded through a sale with a promissory note
- SLAT Spousal Lifetime Access Trust that uses your lifetime exemption while keeping indirect access through a spouse
Each structure tackles a different mix of control, access, and tax exposure.
Family LLCs, Charitable Trusts, and the Basics
A family LLC can combine tax discounts, asset protection, and long term family governance. For very low basis stock, a Charitable Remainder Trust can spread capital gains over time while supporting a favorite charity, often paired with life insurance in an irrevocable trust to replace wealth for children.
None of this replaces the essentials: a revocable living trust, powers of attorney, and healthcare documents that keep your affairs out of court and under your control.
